act as company secretary but when clients require a
knowledgeable and professional service we maintain the
statutory registers at our office and update them when
necessary.
2. Keep minutes of
meeting.
We undertake to act as
Company Secretary throughout the year, which includes
maintaining the statutory books. We also prepare all relevant
minutes for directors and shareholders meetings, the
preparation of forms to be filed at Companies Registry and
basic company secretarial tasks.
3. Prepare directors
resolutions, paper annual general
meetings.
Every company must hold its Annual General
Meeting (AGM) within eighteen months of its incorporation to
present its audited accounts to its shareholders. These audited
accounts should not be older than six months from the date of
the AGM.
The company's Annual Return together with the
audited accounts must be filed with the Registrar not later
than one month from the date of the AGM.
4. Attending to enquiries
pertaining to memorandum and articles of
associations.
5. Act as company
secretary.
According to the rules of company, if a
company only has one director, he/she cannot be the company's
secretary. Hence a company director cannot become a secretary
if there is only 1 director. You will need to appoint a
secretary within 6 months of
incorporation.
6. Attend to share
applications, allotment and
transfers.
7. Filing of annual returns and other
requirements with the authorities.
